These Terms of Use (“Terms”) govern your access to and use of the NotePal AI mobile application (“NotePal AI,” “we,” “our,” “us,” or the “App”). By accessing or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Description of the App

NotePal AI provides:

• AI-powered audio recording and transcription
• Automatic generation of notes, summaries, key points, and action items
• AI chat functionality that allows users to ask questions about transcripts and notes
• Organization and storage of recordings and notes
• Productivity and learning assistance features

The App is intended for informational, productivity, educational, and personal use purposes only.

2. User Content

a. Audio Recordings and Uploaded Content

You may upload or provide:

• Audio recordings
• Voice memos
• Meeting recordings
• Text notes and prompts

You retain ownership of your content. By submitting content, you grant NotePal AI a limited, non-exclusive license to process, analyze, store, and display the content solely for providing App functionality.

You agree not to upload or submit:

• Content you do not own or have permission to use
• Illegal, harmful, or offensive material
• Content that violates third-party rights
• Sensitive information you are not authorized to share

b. Chat and AI Interactions

You are responsible for any questions, prompts, messages, or content submitted through AI chat features.

You agree not to use the App to generate or distribute unlawful, harmful, misleading, harassing, or abusive content.

3. Consent to Record

You are solely responsible for complying with all applicable laws regarding audio recording and consent.

By using the recording features, you represent and warrant that:

• You have obtained all necessary permissions and consents required by law
• You are authorized to record any individuals included in recordings
• Your use of the App complies with local, state, federal, and international laws

We are not responsible for unlawful recordings or misuse of recording functionality.

4. Use of AI Features

NotePal AI uses artificial intelligence to generate transcripts, summaries, notes, action items, and AI chat responses.

• AI-generated content may not always be accurate, complete, or error-free
• Transcriptions may contain inaccuracies or omissions
• AI responses may occasionally provide incorrect or misleading information
• The App does not provide legal, medical, financial, or professional advice

You agree to use AI-generated content at your own risk and independently verify important information. NotePal AI is not responsible for any adverse outcomes from using the App.

5. Prohibited Uses

You agree not to:

• Use the App for unlawful purposes
• Record individuals without required consent
• Upload harmful, infringing, or offensive content
• Attempt to reverse engineer, disrupt, or interfere with the App
• Abuse or overload App systems
• Use the App to create misleading or harmful content
• Circumvent security or access restrictions

6. Intellectual Property

All App content, including software, branding, logos, text, graphics, and features, is owned by or licensed to NotePal AI and protected under applicable intellectual property laws.

You may not:

• Copy, modify, distribute, or sell any part of the App
• Reverse engineer or reproduce App functionality
• Use our branding without written permission

7. Third-Party Services

The App may rely on third-party services for transcription and AI processing.

Examples may include:

• OpenAI
• OpenRouter
• Deepgram

NotePal AI is not responsible for third-party services, outages, or external content.

8. Disclaimer of Warranties

The App is provided “as is” and “as available.”

We make no warranties regarding:

• Accuracy of transcripts or summaries
• Reliability of AI-generated responses
• Continuous or uninterrupted availability
• Error-free operation

We do not guarantee that AI outputs will always be accurate, complete, or suitable for your needs.

9. Limitation of Liability

To the maximum extent permitted by law, NotePal AI shall not be liable for any damages arising from your use of the App, including but not limited to:

• Inaccurate transcripts or summaries
• Lost recordings or data
• Misinterpretation of AI-generated content
• Unauthorized access to your data
• Indirect, incidental, consequential, or special damages

Your use of the App is at your own risk.

10. Data and Account Termination

We may suspend, restrict, or terminate your access to the App at any time if:

• You violate these Terms
• You misuse the App
• Required by law or security concerns

You may stop using the App at any time.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the App after updates means you accept the updated Terms.
